By accessing or using ProSnap ("the Service"), operated by ProSnap ("we," "us," or "our"), a sole proprietorship based in Texas, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These Terms apply to all users, including contractors, service professionals, and any clients accessing the platform through a contractor's invitation.
ProSnap is a field service management software platform that enables service professionals and contractors to manage clients, create and send quotes, schedule jobs, generate invoices, and collect payments. ProSnap is a software tool only. We are not a party to any transactions or agreements between contractors and their clients. We do not provide contracting, construction, or any other trade services.
You must be at least 18 years old and located in the United States to use ProSnap. By using the Service, you represent and warrant that you meet these requirements. ProSnap is intended for use by legitimate business owners and service professionals operating lawfully in their respective jurisdictions. You are responsible for ensuring your use of ProSnap complies with all applicable laws and regulations in your area.
To use ProSnap, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@getprosnap.com if you suspect unauthorized access to your account. ProSnap is not liable for any loss or damage arising from unauthorized account access resulting from your failure to protect your credentials.
ProSnap offers a 14-day free trial to new users. No credit card is required to start a trial. At the end of the trial period, your account will be restricted until you subscribe to a paid plan. We reserve the right to modify or terminate the free trial offer at any time. Trial accounts are limited to one per person and one per business. Creating multiple trial accounts to avoid paying is a violation of these Terms and may result in permanent account termination.
ProSnap offers paid subscription plans billed on a monthly basis. By subscribing, you authorize ProSnap to charge your payment method on a recurring basis until you cancel. All fees are in US dollars and are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change subscription pricing at any time with 30 days notice to existing subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing. If payment fails, your account may be suspended or terminated after reasonable notice.
You may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period you have paid for. ProSnap does not offer refunds for partial months or unused subscription time except at our sole discretion. ProSnap uses Stripe and Stripe Connect to facilitate payment processing. When you connect your Stripe account through ProSnap, you agree to Stripe's Terms of Service and Connected Account Agreement in addition to these Terms. ProSnap is a platform that facilitates connections between contractors and their clients for payment purposes. ProSnap does not store, process, or have access to your full payment card details or bank account numbers. All payment processing is handled directly by Stripe. ProSnap is not responsible for errors, failures, or delays in payment processing caused by Stripe or by your financial institution.
As a contractor using ProSnap, you are solely responsible for: (a) the quality and legality of the services you provide to your clients; (b) obtaining all required licenses, permits, and insurance for your business; (c) accurately representing your services, pricing, and qualifications to clients; (d) complying with all applicable federal, state, and local laws; (e) the accuracy of all quotes, invoices, and communications sent through ProSnap; and (f) obtaining appropriate consent from your clients before adding their information to ProSnap. ProSnap is not responsible for disputes between contractors and their clients.
You agree not to use ProSnap to: (a) violate any applicable law or regulation; (b) send spam, unsolicited messages, or harass any person; (c) upload or transmit malicious code or interfere with the Service; (d) attempt to gain unauthorized access to any part of the Service; (e) use the Service for any fraudulent purpose; (f) impersonate any person or entity; (g) collect or harvest user data without authorization; or (h) use the Service in any way that could damage, disable, or impair ProSnap's infrastructure. Violation of these rules may result in immediate account termination.
ProSnap and its original content, features, and functionality are owned by ProSnap and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. You retain ownership of all data and content you create and upload to ProSnap, including client information, quotes, invoices, and photos. By uploading content to ProSnap, you grant us a limited, non-exclusive license to store and display that content solely for the purpose of providing the Service to you.
Your use of ProSnap is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using ProSnap, you consent to the collection and use of your information as described in our Privacy Policy. You are responsible for ensuring you have the legal right to upload any client or third-party data to ProSnap, including obtaining necessary consents under applicable privacy laws.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROSNAP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSNAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL PROSNAP'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROSNAP IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless ProSnap and its owner, officers, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any dispute between you and your clients; or (e) any content you submit or transmit through the Service.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation by contacting us at hello@getprosnap.com. If informal resolution fails, disputes shall be resolved through binding arbitration in San Antonio, Texas under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration against ProSnap.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your account at any time by canceling your subscription and contacting us at hello@getprosnap.com. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period after termination as required by law or for legitimate business purposes, after which it will be deleted in accordance with our Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify existing users of material changes via email or a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
